Job Description

A private, well-established multi-entity organization with international scope is seeking a Compliance Director to lead its governance, regulatory monitoring, and risk management initiatives.

The ideal candidate will bring deep knowledge of corporate compliance, statutory filings, and board governance across multiple jurisdictions, including the U.S. and international locations.

The Position:

This is a high-impact, senior-level position supporting a network of operating entities, including fiduciary and financial services businesses. The Compliance Director will ensure ongoing statutory compliance, support legal documentation and internal governance, and act as board secretary where appropriate.

Responsibilities

  • Oversee all aspects of regulatory and statutory compliance across U.S. and select international jurisdictions.
  • Maintain corporate registrations, legal certifications, and ensure all entities remain in good standing.
  • Draft and manage corporate governance documents, including board resolutions, meeting minutes, and internal compliance records.
  • Support contractual compliance, including third-party agreements, vendor onboarding, renewals, and termination processes.
  • Provide risk management analysis, recommend mitigation strategies, and ensure internal controls meet regulatory expectations.
  • Prepare and coordinate board and committee meetings, distribute materials, track board resolutions, and document follow-ups.
  • Serve as a trusted advisor to senior leadership on governance, compliance trends, and legal risks.

Qualifications

  • Bachelor's degree required; JD or specialization in corporate, business, or international law strongly preferred.
  • 8+ years of progressive experience in compliance, legal, and corporate governance roles.
  • Strong familiarity with entity formation and maintenance in Delaware, Florida, and The Bahamas.
  • Demonstrated experience managing regulatory filings, internal policy oversight, and risk-based compliance frameworks.
  • Professional certifications such as CRCM, CCEP, or equivalent are highly valued.
